Terms & Conditions

These Terms and Conditions govern all sales by CYRUX Communications, LLC ("CYRUX"). By placing an order, accepting delivery, or making payment, the Client agrees to be bound by these terms. These terms supersede any prior agreements or Client-provided purchase order conditions unless a separate master contract has been executed by both parties.

1. Shipping and Delivery

• Processing Time: Orders passed through billing by 2:00 PM EST typically ship within 48 business hours, subject to stock availability and verification.

• Risk of Loss: Title and risk of loss pass to the Client upon delivery to the carrier or sales representative at our warehouse/storefront.

• Inspection: Clients must notify CYRUX in writing of any shortages or rejections within five (5) business days of delivery. Failure to do so constitutes full acceptance.

• Address Changes: A $15.00 fee applies for any shipping address changes requested after an order has departed our facility.

• Excusable Delays: CYRUX is not liable for delays beyond our control, including supplier shortages, natural disasters, or transport failures.

 

2. Pricing and Payment

• Taxes and Duties: Prices do not include federal, state, or local taxes, or import/customs duties. These are the sole responsibility of the Client.

• Payment Terms: Standard terms are payment in advance unless otherwise agreed.

• Late Fees: Unpaid invoices accrue interest at 1.5% per month (or the maximum legal rate).

• International Orders: All payments must be made in U.S. Dollars. Any currency conversion costs or deficiencies are the responsibility of the Client.

• Errors and Cancellations: CYRUX reserves the right to cancel orders arising from typographical errors or significant vendor price fluctuations. A $20.00 fee applies to all returned checks.

 

3. Backorders and Mispriced Items

• Backorders: We strive to honor original pricing; however, if a manufacturer increases prices before the item is in stock, we reserve the right to adjust the price. We will notify you before charging, and you may choose to cancel the order.

• Information Accuracy: In the event of a typographical error regarding price or product info, CYRUX reserves the right to cancel the order and issue a full refund.

 

4. Returns and RMA Policy

• 30-Day Guarantee: All products include a 30-day guarantee against manufacturer defects from the invoice date.

• RMA Requirement: No returns will be accepted without a Return Merchandise Authorization (RMA) number. RMAs are valid for three (3) days from issuance.

• Condition: Returns must include all original packaging in unused condition. Used or defaced products void the return policy.

• Restocking Fees:

  • Unopened Items: 20% restocking fee.

  • Opened Items: 20% – 25% restocking fee.

  • Defective Claims: If an item is found not to be defective by our technicians, a testing fee of $39.99/hour (capped at 25% of the item cost) plus return shipping will apply.

• Manufacturer Direct Warranty: Items marked as such are serviced directly by the manufacturer and are not covered by CYRUX’s 30-day policy.

 

5. Order Cancellations

• Cancellations not due to backorders are subject to a credit card transaction fee of 7% or $10.00 (whichever is greater).

• Shipping and handling fees are non-refundable once an order has moved to warehouse fulfillment.

 

6. Limitation of Liability

CYRUX Communications, LLC shall not be liable for any special, incidental, punitive, or consequential damages, including lost profits, loss of data, or loss of use, even if advised of the possibility of such damages. Our sole liability is limited to the "30-Day Guarantee" as described above.

 

7. Governing Law and Jurisdiction

This agreement is governed by the laws of the Commonwealth of State of Texas. Any disputes shall be resolved exclusively in the state or federal courts located in Taylor County, Texas. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
